Nomination and Selection Process
The company follows a nomination system for independent directors and selects them in accordance with Article 14-2 of the Securities and Exchange Act and Article 16-1 of the company's articles of incorporation.
- Nomination Qualifications: Pursuant to Article 192-1 of the Company Act, shareholders holding more than one percent of the total issued shares of the company are eligible to submit a list of candidates for independent directors in writing to the company.
- Number of Independent Director Positions to Be Elected: Three directors shall be elected according to the company's articles of incorporation. (Term: From the date of election on June 3, 2025 to June 2, 2028)
- Acceptance Period: Nominations for independent director candidates will be accepted during the period stipulated in accordance with Article 192-1 of the Company Act.
- Acceptance Location: The company's Finance and Accounting Department (Address: 3rd Floor, No. 607 Ruiguang Road, Neihu District, Taipei City).
- Documents to be Submitted by Nominators: Nominators should provide the nominee's name, educational background, experience, letter of commitment to serve as a director if elected, a declaration of no circumstances specified in Article 30 of the Company Act, and other relevant supporting documents.
- Independent director candidates' professional qualifications, shareholding, and concurrent position restrictions should adhere to the relevant provisions of the "Regulations Governing the Appointment of Independent Directors and Compliance Matters for Public Companies."
Actual Appointment Situation
The company adopts a nomination system for independent directors and selects them in accordance with Article 14-2 of the Securities and Exchange Act and Article 16-1 of the company's articles of incorporation.
- On March 5, 2025 , during the 15th meeting of the 6th Board of Directors, the Board resolved to reelect three independent directors under the candidate nomination system. The nomination period was set from March 10, 2025 to March 21, 2025. Nominations could be submitted by The company's Board of Directors or shareholders holding more than 1% of the company’s issued shares. Submissions were required to include nominee declarations, lettters of commitments, basic personal information, and proof of educational and professional experience, and were to be submitted them to the company's office (3rd Floor, No. 607 Ruiguang Road, Neihu District, Taipei City). On April 17, 2025, during the 17th meeting of the 6th Board of Directors, the Board reviewed the qualifications of the nominated independent director candidates. With the unanimous consent of all attending directors, Lee Shih-Jen, Dr. Lin Guo-Feng, and Qiu Chin-Ting, the candidates nominated by the company's Board of Directors, were confirmed to meet all regulatory requirements and approved as candidates for independent directors at the 2025 Annual Shareholder's Meeting.
